Applies to

Ethical Hire public website, platform, workers, clients, participants, providers, coordinators and authorised representatives, as applicable

Important scope notice: These Platform Terms apply to Ethical Hire’s authenticated marketplace platform and platform services. They do not apply to a separate labour hire, managed workforce, BPO, RPO, direct sourcing, recruitment, employment, clinical services or provider services arrangement unless a separate written agreement expressly incorporates them.

Platform summary and document hierarchy

This summary is provided to help users understand the structure of these Platform Terms. It does not limit the operative clauses below.

Topic

Position

Platform role

Ethical Hire provides access to technology, matching, profile, booking, communication, verification-support, payment-processing and support tools. It does not itself provide care services through these marketplace terms.

User relationships

Workers, Clients, Participants, Providers and Coordinators remain responsible for their own decisions, legal obligations, conduct, safety duties and service arrangements.

Separate service models

If Ethical Hire supplies workers, manages workers or provides labour hire/managed workforce services, a separate written agreement and any applicable licensing/compliance framework must apply.

Regulated care context

Users must comply with applicable NDIS, aged care, privacy, workplace, health and safety, screening, professional registration and consumer laws.

Priority of documents

Role-specific terms, service agreements and policies may apply. If terms conflict, the more specific document prevails for the relevant feature or role, unless these Platform Terms expressly state otherwise.

1. Acceptance and agreement structure

1.1 By creating an Account, accessing the Platform, submitting information or documents, posting a role, contacting another User, requesting or accepting a Booking, approving a service record, paying or receiving payments, or otherwise using the Platform Services, you agree to these Platform Terms.

1.2 If you use the Platform on behalf of another person, Participant, Provider, organisation, company, nominee, guardian, administrator, plan manager or coordinator, you warrant that you have authority to do so and that you can bind that person or entity to these Platform Terms to the extent permitted by law.

1.3 The agreement between you and Ethical Hire may include these Platform Terms, the Privacy Policy, Code of Conduct, Verification Policy, Incident and Complaints Policy, Fees Schedule, role-specific terms, service-specific schedules and any written agreement accepted by Ethical Hire.

1.4 If documents conflict, the more specific document applies to the relevant feature, service or User role. These Platform Terms govern general access to the Platform and Platform Services.

1.5 The public website Site Terms apply to non-authenticated pages, blogs, public forms, resources and marketing pages. These Platform Terms apply once you create an Account or use authenticated platform features.

Part 1: User obligations and prohibited conduct

  1. What Users must do

3.1 During use of the Platform, each User must:

  • continue to meet all eligibility, verification, legal, role-specific and policy requirements that apply to them;
  • comply with all applicable laws, these Platform Terms, the Code of Conduct, Privacy Policy, Verification Policy, Incident and Complaints Policy and Fees Schedule;
  • provide information that is accurate, current, complete and not misleading;
  • act honestly, respectfully, safely and in good faith when using the Platform or interacting with other Users;
  • use the Platform only for lawful purposes connected with the Platform Services;
  • keep Account credentials secure and promptly notify Ethical Hire of suspected unauthorised access;
  • communicate through the Platform where required for Bookings, service records, safety, incidents, complaints, payments and compliance;
  • cooperate with reasonable requests for information, verification, investigation, audit, safety review or regulatory response; and
  • comply with privacy, confidentiality, health information and data protection obligations when handling information obtained through the Platform.

  1. What Users must not do

4.1 Users must not engage in prohibited conduct, including:

  • using the Platform for unlawful, fraudulent, misleading, deceptive, abusive, discriminatory, harassing, exploitative, unsafe or offensive conduct;
  • providing or requesting Services that are unlawful, unsafe, outside a Worker’s competence or outside the scope of a confirmed Booking;
  • uploading false, misleading, forged, expired, incomplete or unauthorised Compliance Documentation;
  • circumventing Platform booking, payment, service-record, verification, safety or reporting processes;
  • scraping, crawling, harvesting, mining, bulk-downloading or extracting Platform data except as expressly permitted by Ethical Hire;
  • reverse engineering, interfering with, overloading, damaging, bypassing security controls or attempting unauthorised access to the Platform;
  • uploading malware, malicious code, harmful files or content that infringes another person’s rights;
  • impersonating another person, creating duplicate accounts to avoid restrictions, or misrepresenting authority to act;
  • using another User’s contact details, health information, identity documents, service records or business information except for the permitted purpose for which it was disclosed;
  • publishing or sharing another User’s confidential, personal, health or commercially sensitive information without lawful authority; or
  • advertising, promoting or implying any endorsement, partnership, employment, agency or sponsorship relationship with Ethical Hire without written permission.

4.2 A User must not enable, encourage, assist or permit another person to engage in prohibited conduct.

Part 2: Getting started and Account approval

  1. Eligibility, Account creation and approval

5.1 Users must be at least 18 years old, have legal capacity and meet all role-specific eligibility requirements applicable to their use of the Platform.

5.2 Account creation does not guarantee approval, search visibility, access to bookings, access to sensitive information, payment eligibility or continued use of the Platform.

5.3 Ethical Hire may provide limited Account access while an Account is pending review. Full access may be withheld until Ethical Hire is reasonably satisfied that applicable eligibility and verification requirements have been met.

5.4 Ethical Hire may refuse, suspend, restrict, deactivate or terminate an Account where required for legal, safety, compliance, security, operational, integrity or regulatory reasons, subject to applicable law.

5.5 Users must keep their Account information current and must notify Ethical Hire promptly of any change affecting eligibility, authority, compliance status, contact details, payment details, screening status, insurance, registration, professional status or right to work.

  1. Verification and compliance checks

6.1 Ethical Hire may request, collect, review, verify, re-check, reject, suspend, expire or record Compliance Documentation at any time.

6.2 Verification may include identity checks, right-to-work checks, ABN checks, NDIS Worker Screening Check status, Working with Children Check, National Police Check, AHPRA registration, aged care screening, training certificates, insurance certificates, references, Provider registrations, sanctions checks and other checks required by law or policy.

6.3 Users consent to Ethical Hire conducting reasonable verification checks when they apply for an Account and at other times during their use of the Platform.

6.4 A verified status means only that Ethical Hire has completed the verification step described in the relevant Verification Policy at the relevant time. It is not a guarantee of character, suitability, quality, legal compliance, performance, clinical competence or future conduct.

6.5 Unless Ethical Hire expressly marks a document or status as verified, uploaded documents are self-declared by the relevant User and are not guaranteed by Ethical Hire.

6.6 Clients, Participants, Providers and Coordinators remain responsible for making their own engagement decisions and confirming that a Worker is suitable and legally permitted to deliver the specific Services requested.

6.7 Users must immediately notify Ethical Hire if any clearance, registration, licence, qualification, insurance, right to work or authority to act expires, is suspended, is cancelled, is restricted, is investigated or otherwise changes.

Part 3: Nature of the Platform and what Ethical Hire does not do

  1. Platform Services

7.1 Ethical Hire provides the following Platform Services:

  • access to and use of the Platform;
  • profile creation and profile-management tools;
  • tools for Clients, Participants, Providers and Coordinators to search, shortlist, contact or request Workers;
  • tools for Workers to search, apply for, accept or manage Bookings;
  • booking, scheduling, messaging, notification and service-record functionality;
  • verification-support and compliance-documentation tools;
  • payment-processing, invoicing or billing facilitation where enabled;
  • incident, complaint, support and account-management tools; and
  • other features made available by Ethical Hire from time to time.

7.2 Platform Services are provided on a non-exclusive and non-transferable basis, subject to these Platform Terms and applicable policies.

7.3 Ethical Hire will use reasonable endeavours to provide the Platform with due care and skill, to apply reasonable security safeguards and to maintain Platform availability. Ethical Hire does not guarantee uninterrupted, error-free or continuous access.

7.4 Ethical Hire may modify, update, suspend, restrict or discontinue Platform functionality. Where a material change is likely to materially affect Users, Ethical Hire will provide reasonable notice where practicable.

  1. Marketplace status and service-scope separation

8.1 Unless a separate written agreement expressly states otherwise, Ethical Hire operates as a marketplace platform and technology intermediary. Ethical Hire does not provide the Services arranged between Users through these marketplace Platform Terms.

8.2 Unless a separate written labour hire, managed workforce, BPO, recruitment, RPO, direct sourcing, employment, provider or clinical services agreement applies, Ethical Hire does not:

  • employ, engage, contract, subcontract or supply Workers;
  • act as agent, representative, partner, fiduciary, employer, co-employer, principal, labour hire provider, health service provider, aged care provider or NDIS provider for any User;
  • direct, supervise, manage or control how Workers perform Services;
  • choose a Worker for a Client, Participant, Provider or Coordinator, except to provide search, matching or recommendation tools that Users may accept or reject;
  • set the agreed remuneration for Services, except to apply Platform rules, minimum rate protections, published fees, NDIS pricing restrictions or legal requirements where applicable;
  • provide medical, clinical, legal, tax, migration, employment, financial or compliance advice;
  • guarantee the quality, safety, availability, legality, suitability, performance or outcome of Services; or
  • assume responsibility for any service agreement entered into between Users, except to require that such agreement meet the minimum requirements in these Platform Terms.

8.3 If Ethical Hire separately supplies workers, invoices clients for labour, manages workers, employs workers, subcontracts services, provides recruitment services, provides BPO or operates a managed workforce service, that arrangement must be governed by a separate written agreement. The separate agreement must address any applicable labour hire licensing, employment, contractor, workplace, insurance, payroll, tax, superannuation, OHS/WHS, NDIS, aged care and regulatory obligations.

8.4 No label in these Platform Terms overrides the legal reality of the relationship between parties. If a court, tribunal, regulator or law determines that a different legal relationship exists, the parties must comply with that determination.

Part 4: Service arrangements and minimum requirements

  1. Minimum Service Agreement requirements

9.1 Each Booking or service arrangement between Users must comply with these minimum requirements:

  • it must comply with all applicable laws and regulatory requirements;
  • it must identify the parties, service location, service dates/times, scope of Services, agreed rate, cancellation rules, payment process and any relevant safety or support information;
  • it must not contain terms inconsistent with these Platform Terms, the Code of Conduct, NDIS Laws, Aged Care Laws, workplace laws, privacy laws, consumer laws or mandatory rights;
  • it must not require a Worker to provide services outside their competence, lawful authority, qualification, registration, insurance or screening status;
  • it must not set rates, fees or arrangements that are unlawful, inconsistent with applicable NDIS pricing rules, or below any applicable lawful minimum for labour or work where such minimum applies;
  • it must require both parties to cooperate on safety, incident reporting, privacy, confidentiality, service records and dispute resolution; and
  • where NDIS or aged care funding is used, it must support accurate, lawful, transparent and auditable claiming.

9.2 Ethical Hire may provide a template, form or workflow that assists Users to document a Booking or service arrangement. Use of a template does not transfer responsibility for the arrangement to Ethical Hire.

9.3 Users remain responsible for reviewing and accepting only arrangements they understand, can lawfully perform or receive, and consider appropriate for their circumstances.

  1. Bookings, service records and communications

10.1 Bookings, amendments, cancellations, service records, incident reports, payment approvals and material communications should be recorded through the Platform where Platform functionality is available.

10.2 Users must not rely on verbal or informal off-platform arrangements where the Platform requires written confirmation, service records, payment records, safety notes or compliance records.

10.3 Workers must submit accurate service records promptly after completing Services. Clients, Participants, Providers or Coordinators must review service records within the period stated in the Fees Schedule or relevant workflow.

10.4 Ethical Hire must not apply an automatic deemed approval mechanism unless Users are clearly informed, given a reasonable review period and given a reasonable right to dispute, correct or request review of the service record in accordance with applicable law and the Fees Schedule.

10.5 Ethical Hire may place payments on hold, reverse a transaction, request further information or investigate where it reasonably suspects error, fraud, non-delivery, non-compliance, safety risk, funding misuse or dispute.

Part 5: Regulated care, safety and compliance

  1. NDIS obligations

11.1 Users involved in NDIS-funded Services must comply with applicable NDIS Laws, including the NDIS Code of Conduct, applicable Practice Standards, worker screening requirements, pricing arrangements, restrictive practice rules, incident obligations, complaints requirements and funding rules.

11.2 NDIS-funded Bookings must be within the Participant’s plan, funding category, service needs and lawful authority to purchase or arrange the Services.

11.3 Users must not submit, approve or facilitate false, inflated, duplicate, misleading, non-compliant or unsupported NDIS claims.

11.4 Ethical Hire may withhold, reverse, decline or investigate any payment or claim it reasonably suspects is inconsistent with NDIS Laws or Platform requirements, and may report suspected fraud, abuse, neglect, exploitation, restrictive practice misuse, pricing irregularity or serious non-compliance to the relevant authority where permitted or required by law.

  1. Aged care obligations

12.1 Users involved in aged care Services must comply with applicable Aged Care Laws, including the Aged Care Code of Conduct, aged care rights and principles, quality standards, worker screening requirements, incident obligations, complaints requirements and program funding rules.

12.2 Providers, Coordinators and other organisations remain responsible for their regulatory status, consumer agreements, care plans, service delivery obligations, reporting obligations and audit obligations.

12.3 Users must not submit, approve or facilitate false, inflated, duplicate, misleading, non-compliant or unsupported aged care claims, invoices or subsidy-related records.

  1. Worker obligations

13.1 Workers must hold and maintain all checks, qualifications, registrations, licences, training and insurance required for the Services they offer.

13.2 Workers must not provide Services outside their competence, training, registration, insurance, lawful authority, screening status or confirmed Booking scope.

13.3 Workers providing NDIS-funded supports must maintain required NDIS worker screening, complete required orientation or training modules where applicable and comply with the NDIS Code of Conduct.

13.4 Workers delivering aged care Services must maintain required screening and comply with the Aged Care Code of Conduct and applicable aged care requirements.

13.5 Nurses, allied health professionals and other registered practitioners must maintain AHPRA registration where required, comply with professional standards, maintain professional indemnity arrangements where required and promptly notify Ethical Hire of any condition, restriction, suspension, investigation or disciplinary action.

13.6 Workers must maintain public liability insurance and professional indemnity insurance where required by law, professional standards, Provider requirements or Ethical Hire policy. Workers should consider personal accident and income protection insurance because marketplace access does not automatically provide workers compensation or WorkCover coverage.

  1. Client, Participant, Provider and Coordinator obligations

14.1 Clients, Participants, Providers and Coordinators must provide accurate and current information about support needs, service location, health conditions, behavioural risks, access requirements, pets, infection risks, equipment, manual handling requirements, transport requirements and known safety hazards relevant to a Booking.

14.2 Providers and Coordinators must hold all registrations, accreditations, licences, insurances and approvals required for their operations, including NDIS registration, aged care registration or other approvals where applicable.

14.3 Providers and Coordinators remain responsible for confirming that any Worker engaged through the Platform is appropriate for the specific role, environment, client needs, funding rules, risk profile and regulatory requirements.

14.4 Clients, Participants, Providers and Coordinators must not request unlawful services, clinical services outside a Worker’s registration, unsafe tasks, discriminatory conduct, unapproved restrictive practices, cash payments, off-platform arrangements or services outside a confirmed Booking.

  1. OHS/WHS, safe environments and incidents

15.1 Each User must comply with applicable occupational health and safety or work health and safety laws. Safety duties may apply to multiple parties at the same time and cannot be contracted away where the law imposes them.

15.2 Clients, Participants, Providers and Coordinators must use reasonable endeavours to ensure that service locations under their control are safe, accessible and suitable for the Services requested.

15.3 Workers must take reasonable care for their own health and safety and the health and safety of others, follow lawful and reasonable safety instructions and decline or stop Services where they reasonably believe there is serious or imminent risk.

15.4 Users must report incidents, near misses, injury, abuse, neglect, exploitation, violence, harassment, medication errors, privacy incidents, restrictive practice concerns or serious service concerns through the Platform or Ethical Hire’s reporting channels as soon as practicable.

15.5 Ethical Hire may triage, record, investigate, refer, suspend Accounts, restrict Bookings or notify relevant parties or authorities where Ethical Hire reasonably considers this necessary for safety, legal, regulatory, insurance or integrity reasons.

Part 6: Price, fees, payments and cancellations

  1. Fees and fee changes

16.1 Users must pay all fees, charges and amounts stated in the Fees Schedule, role-specific terms, Booking confirmation, invoice or accepted service arrangement.

16.2 Fees may include platform fees, booking fees, worker service fees, provider subscription fees, database access fees, verification fees, payment processing fees, cancellation fees and other published charges.

16.3 Ethical Hire may change fees by giving at least 30 days’ written notice of material increases, unless a shorter period is required by law, regulator direction, tax change, third-party payment provider change or urgent security/compliance need.

16.4 Fee changes do not apply retrospectively to completed Bookings unless required by law, correction of error or fraud investigation.

16.5 If a User does not accept a fee change, the User may stop using the relevant Platform Services before the change takes effect, subject to paying amounts already incurred.

  1. Payments, tax and billing

17.1 Payments for Services arranged through the Platform must be processed through the Platform or an approved payment method where required by the Fees Schedule or Booking workflow.

17.2 Ethical Hire may act as payment facilitator, billing administrator, disclosed agent, collection agent or limited payment-processing intermediary as stated in the Fees Schedule or relevant payment terms. Unless a separate agreement states otherwise, Ethical Hire is not the purchaser or direct recipient of Services arranged between Users.

17.3 Workers and Providers are responsible for their own tax, GST, ABN, invoicing, superannuation, payroll, employment, contractor, insurance and record-keeping obligations unless a separate written agreement states otherwise.

17.4 Ethical Hire may withhold, delay, reverse, set off or recover payments where reasonably required due to failed payment, chargeback, dispute, suspected fraud, non-compliance, regulatory risk, funding issue, error or safety investigation.

17.5 Users must not process NDIS, aged care or other government-funded payments in a way that is false, misleading, unsupported, duplicate, inflated, outside the approved funding rules or inconsistent with the Services actually delivered.

  1. Cancellations and no-shows

18.1 Cancellations, rescheduling and no-shows must be handled in accordance with the Fees Schedule, Booking workflow and applicable funding rules.

18.2 Cancellation fees must be transparent, proportionate, reasonably connected to loss, clearly disclosed and consistent with applicable law, NDIS pricing rules and aged care funding rules.

18.3 Ethical Hire may waive, reduce or adjust a cancellation fee where required by law, Platform policy, regulatory guidance, genuine emergency, safety concern or manifest unfairness.

18.4 Workers who repeatedly cancel late, fail to attend or submit inaccurate service records may have Account visibility reduced, Bookings restricted, payments held, Account suspended or Account terminated, subject to applicable law and the seriousness of the conduct.

18.5 Clients, Participants, Providers or Coordinators who repeatedly fail to attend, fail to pay, approve inaccurate records or create unsafe cancellation patterns may have Bookings restricted, payments held, Account suspended or Account terminated, subject to applicable law and the seriousness of the conduct.

  1. Avoidance of Platform fees and off-platform conduct

19.1 Users must not use the Platform primarily to identify, contact or introduce Users and then deliberately move the same Booking or substantially related ongoing service arrangement off-platform to avoid fees, safety processes, service records, payment processes or compliance requirements.

19.2 Ethical Hire may investigate suspected fee avoidance, off-platform payment, fraudulent service records, false invoicing or deliberate circumvention of Platform processes.

19.3 Ethical Hire will not impose any automatic fixed penalty merely because Users continue a relationship outside the Platform. However, where Ethical Hire suffers demonstrable loss caused by a User’s breach of these Platform Terms, Ethical Hire may seek recovery of reasonable losses, unpaid fees, investigation costs and legal remedies to the extent permitted by law.

19.4 This clause does not prevent a Worker from serving clients with whom the Worker had a genuine pre-existing relationship independent of the Platform, provided the Worker can reasonably demonstrate that the relationship did not arise from Ethical Hire’s introduction, data, tools or Platform Services.

Part 7: Insurance, privacy, confidentiality and intellectual property

  1. Insurance

20.1 Users must hold insurance required by law, professional standards, registration conditions, Provider requirements, these Platform Terms or Ethical Hire policy.

20.2 Ethical Hire may facilitate, require evidence of, or provide access to insurance arrangements from time to time. Any facilitated insurance arrangement is subject to the insurer’s policy wording, exclusions, limits, eligibility conditions and claims process.

20.3 Ethical Hire does not provide financial product advice. Users should obtain their own advice about insurance appropriate to their work, business, vehicle use, professional risk, injury risk and service context.

  1. Privacy, health information and confidentiality

21.1 Ethical Hire will handle personal information in accordance with its Privacy Policy and applicable privacy laws.

21.2 Users must handle personal information, sensitive information, health information, NDIS information, aged care information, identity documents and service records lawfully, securely, confidentially and only for the purpose for which the information was provided.

21.3 Users must not disclose another User’s confidential information except with consent, as required for a Booking, as required by law, to professional advisers, to insurers, to regulators, to emergency services, or as otherwise permitted by these Platform Terms or the Privacy Policy.

21.4 Users must promptly notify Ethical Hire of any suspected unauthorised access, privacy breach, data breach, cyber incident or misuse of Platform information.

  1. User content and Platform intellectual property

22.1 Users retain ownership of content they upload to the Platform, subject to the licence granted in this clause.

22.2 Users grant Ethical Hire a non-exclusive, worldwide, royalty-free licence to use, store, copy, display, adapt, process, transmit and disclose User content to operate, secure, improve, provide, administer and promote the Platform Services, comply with law, manage disputes and support regulatory or insurance processes.

22.3 Users warrant that they have the right to upload their content and that the content is accurate, lawful, not misleading and does not infringe another person’s rights.

22.4 Ethical Hire owns or licenses the Platform, software, design, workflows, trademarks, branding, templates, documents, data structures, content and intellectual property made available by Ethical Hire. Users must not copy, reproduce, modify, reverse engineer, resell or exploit Ethical Hire’s intellectual property without written permission, except as expressly permitted by these Platform Terms.

Part 8: Liability, consumer law and indemnities

  1. Use of the Platform at your own risk

23.1 Subject to non-excludable rights, Users use the Platform, Platform content and information obtained through the Platform at their own discretion and risk.

23.2 Ethical Hire is not responsible for a User’s decision to engage, accept, reject, continue or terminate a relationship with another User.

23.3 Ethical Hire is not responsible for the acts, omissions, negligence, misconduct, representations, service quality, professional performance or legal compliance of Users, except to the extent caused by Ethical Hire’s own breach of law or these Platform Terms.

  1. Non-excludable rights and limitation of liability

24.1 Nothing in these Platform Terms excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the ACL.

24.2 To the maximum extent permitted by law, Ethical Hire excludes liability for indirect, consequential, special, exemplary or punitive loss, loss of profit, loss of revenue, loss of data, loss of opportunity, reputational damage, business interruption and loss arising from another User’s acts or omissions.

24.3 To the extent Ethical Hire is permitted to limit liability for breach of a non-excludable guarantee, Ethical Hire limits its liability, at its option, to resupplying the relevant Platform Services or paying the cost of having those Platform Services supplied again.

24.4 Any broader liability cap must be set out in the Fees Schedule or applicable role-specific terms and must be fair, transparent and consistent with applicable law.

  1. Indemnities

25.1 Each User indemnifies Ethical Hire, its officers, employees, contractors and agents against loss, liability, claim, cost or expense arising from that User’s breach of these Platform Terms, misuse of the Platform, unlawful conduct, infringement of rights, false information, unsafe conduct, non-compliant claim, privacy breach or failure to comply with applicable law.

25.2 The indemnity is reduced to the extent the loss is caused by Ethical Hire’s own fraud, wilful misconduct, negligence, breach of law or breach of these Platform Terms.

25.3 Nothing in this clause requires a User to indemnify Ethical Hire for a statutory penalty, fine or liability that cannot lawfully be indemnified.

Part 9: Suspension, termination and disputes

  1. Suspension and termination

26.1 A User may close their Account by following the Platform process, subject to paying all amounts incurred, resolving active Bookings and complying with continuing obligations.

26.2 Ethical Hire may suspend, restrict or terminate an Account where it reasonably believes:

  • a User has breached these Platform Terms, a policy, a Booking requirement or applicable law;
  • a User no longer meets eligibility, verification or compliance requirements;
  • a User has failed to pay amounts when due;
  • a User has engaged in prohibited conduct, fraud, misuse, unsafe conduct, harassment, abuse, exploitation, privacy breach or misleading conduct;
  • a User creates health, safety, regulatory, security, financial, reputational or operational risk;
  • a regulator, insurer, court, tribunal or law enforcement body requires or recommends action; or
  • suspension or restriction is reasonably necessary to protect Users, Participants, the Platform or Ethical Hire.

26.3 Where a breach is capable of remedy and does not create immediate material risk, Ethical Hire will use reasonable endeavours to provide notice and a reasonable opportunity to remedy. Immediate suspension may occur where necessary for safety, compliance, security, fraud, investigation, regulatory or serious-risk reasons.

26.4 Suspension or termination does not affect obligations that accrued before suspension or termination, including payment, confidentiality, privacy, IP, dispute, indemnity and liability obligations.

  1. Complaints and disputes

27.1 Users should raise complaints, incidents, billing disputes and service concerns through the Platform or Ethical Hire’s nominated support channels as soon as practicable.

27.2 Ethical Hire may facilitate communication, request information, place payments on hold, correct records, restrict Accounts, refer matters to relevant bodies or make a Platform-administration decision. Ethical Hire is not required to adjudicate all disputes between Users unless required by law or policy.

27.3 Users must cooperate reasonably and provide accurate information during complaint, incident, safety, billing, insurance, compliance or dispute processes.

27.4 Nothing in these Platform Terms prevents a User from contacting a regulator, consumer protection agency, the NDIS Commission, the Aged Care Quality and Safety Commission, WorkSafe Victoria, Fair Work, the police, emergency services or another competent authority.

Part 10: General terms

  1. Changes to these Platform Terms

28.1 Ethical Hire may amend these Platform Terms from time to time.

28.2 Ethical Hire will provide reasonable notice of material changes, generally at least 30 days where the change materially affects User rights or obligations, unless a shorter period is required for legal, regulatory, safety, security, technical or operational reasons.

28.3 Continued use of the Platform after the effective date of updated terms constitutes acceptance of the updated terms. If a User does not accept updated terms, the User must stop using the Platform before the effective date, subject to accrued obligations.

  1. Force majeure and Platform availability

29.1 Ethical Hire is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, public health events, cyber incidents, telecommunications failure, internet failure, power failure, industrial action, government action, regulatory intervention or third-party platform failure.

29.2 Ethical Hire will use reasonable endeavours to restore affected Platform Services and minimise disruption where practicable.

29.3 Users remain responsible for maintaining alternative arrangements where continuity of care, support, safety or operations is essential.

  1. Modern slavery, exploitation and ethical conduct

30.1 Ethical Hire has zero tolerance for modern slavery, forced labour, debt bondage, human trafficking, worker exploitation, abuse, neglect or exploitation of vulnerable persons.

30.2 Users must not engage in, facilitate, conceal or benefit from modern slavery, worker exploitation, participant exploitation, abuse, neglect or trafficking in connection with the Platform.

30.3 Ethical Hire may suspend Accounts, report concerns and cooperate with regulators or law enforcement where it reasonably suspects conduct of this nature.

  1. Accessibility

31.1 Ethical Hire will use reasonable endeavours to make the Platform and Platform documents accessible and to consider accessibility in material updates.

31.2 Users who require reasonable accessibility support, alternative formats or assistance may contact Ethical Hire through the nominated support channel.

  1. Notices

32.1 Ethical Hire may give notices through the Platform, by email, by SMS, by in-app notification, by publication on the Platform, or by other reasonable means using the contact details in a User’s Account.
